STORYTECH’S PLATFORMS

GENERAL TERMS AND CONDITIONS – PART A

PREFACE

1.1 This StoryTech Platform www.storytech.in, its mobile phone and internet-based application(s) (Workruit App) and any other application/platforms as well (together “StoryTech’s platforms”) is owned and operated by StoryTech Private Limited, a company incorporated under the Laws of the Republic of India having its Registered Office at [8-2-293/82/A/481, Plot No 481, 4th Floor, Road No 36, Jubilee Hills, Hyderabad, India - 500033], (collectively referred to as “StoryTech”, “SPL”, “we”, “us”, “our”, as the context may apply).

1.2 Each user of StoryTech’s platforms (hereinafter referred to as “User”, “StoryTech User”, “you”, “your”, as the context may apply) is requested to read these terms before them using StoryTech’s platforms.

When you register with StoryTech’s platforms you will need to use a username (as created by a valid email address) and password upon which a unique ID will be created.

1.3 When you sign up to use a feature of the StoryTech’s platforms, you may be asked to agree to terms governing your use of the feature. In such cases, you may be asked to consent to the particular terms expressly, for example, by checking a box or clicking on a button marked “I agree.” This type of agreement is known as a “click-through” agreement. If any of the terms of the click-through agreement are different from the terms of the terms, the terms of the click-through agreement will supplement or amend these terms, but only concerning the matters governed by such “click-through agreement”.

1.4 We may translate these terms into other languages for your convenience. Nevertheless, the English version governs your relationship with us, and any inconsistencies among the different versions will be resolved in favor of the English version.

1.5 If you disagree with any part of these terms and conditions, please refrain from use of StoryTech Platform.

SERVICES IN STORYTECH’S PLATFORMS

2.1 Market Place: You are informed that the StoryTech’s platforms is a marketplace and acts merely as an intermediary to connect Organisation/Institution and Candidates. We disclaim any warranties express or implied concerning any aspects of an Organisation/Institution or Candidate.

2.2 User Account: You may create an account and provide certain information about yourself to use some of the features offered through the StoryTech’s platforms. You confirm that you are solely responsible for maintaining such User Accounts as respective end-user terms applicable to the same. You must notify us immediately if you believe that your password is in the possession of any other person or if it may be used in an unauthorized way.

2.3 Services & Service Fee: StoryTech’s platforms may from time-to-time change any of its service offerings and its features. You confirm that you shall pay the fee for the services as per the terms of the specific services provided in this StoryTech’s platforms.

CONTENTS IN STORYTECH’S PLATFORMS

3.1 All of the information contained on StoryTech’s platforms is the copyright of StoryTech. All intellectual property rights are exclusive property of StoryTech.

3.2 You do not have the right to use StoryTech's trade names, trademarks, service marks, logos, domain names, and other distinctive brand features. You do not have the right to copy and use the software, text, images, graphics, video and audio used on this StoryTech’s platforms ("Content"). You do not have the right to remove, obscure, or alter any proprietary rights notices (including trademark and copyright notices), which may be affixed to or contained within the Services. You will not copy or transmit any of the Content.

3.3 StoryTech neither represents nor warrants that your use of materials displayed at the StoryTech’s platforms will infringe third parties' rights.

3.4 Except as expressly permitted by these Terms, no portion of the information on StoryTech’s platforms may be reproduced in any form, or by any means, without our prior written permission.

3.5 StoryTech has not reviewed any sites that may be linked to the StoryTech’s platforms and is not responsible for the content of any off-site pages or any other sites linked to the StoryTech’s platforms. Your linking to any other off-site pages or other websites is at your own risk.

3.6 StoryTech's display on or through the StoryTech’s platforms of various services offered by third parties does not imply, suggest, or constitute any sponsorship, recommendation or approval or advice of StoryTech of any such third parties or their products.

3.7 You confirm that StoryTech is in no way responsible for the accuracy, timeliness or completeness of information it may obtain from these third parties. Your interaction with any third party accessed through the StoryTech’s platforms is at your own risk, and StoryTech will have no liability with respect to the acts, omissions, errors, representations, warranties, breaches or negligence of any such

third parties or for any personal injuries, death, property damage, or other damages or expenses resulting from your interactions with the third parties.

3.8 You confirm that you may need to confirm with the terms and conditions of such third parties by accessing their page on the StoryTech’s platforms, and the same will be at your sole risk, responsibility and any obligations that may arise.

3.9 While StoryTech uses reasonable efforts to include accurate and up to date information at the StoryTech’s platforms, StoryTech makes no warranties or representations as to the StoryTech’s platforms’ accuracy. StoryTech disclaims any and all liability for the accuracy, completeness, or correctness of such information. No liability is accepted by StoryTech for any loss or damage which may arise out of any person relying on or using any information in StoryTech’s platforms.

PROHIBITED CONDUCT

4.1 By using our StoryTech’s platforms, you confirm that you shall not:

(a) use our Services and StoryTech’s platforms for spamming or any other illegal purposes;

(b) infringe StoryTech’s or any third party's intellectual property rights, rights of publicity or privacy;

(c) post or transmit any message which is libelous, defamatory or which discloses private or personal matters concerning any person;

(d) post or transmit any message, data, image or program which violates any law;

(e) refuse to cooperate in an investigation or provide confirmation of your identity or any other information you provide to StoryTech;

(f) remove, circumvent, disable, damage or otherwise interfere with security related features of our StoryTech’s platforms or features that enforce limitations on the use of our Services and StoryTech’s platforms;

(g) upload any content that constitutes negligent advice or contains any negligent statement, an incitement to commit a crime or contains

instructions for the commission of a crime or the promotion of criminal activity; or any content which is in contempt of any court, or in breach of any court order; or discriminates on the basis of age, sex, religion, race or gender; harassing, invasive of another's privacy, blasphemous; in breach of any contractual obligations or depicts violence or is pornographic, pedophilic, obscene, suggestive or sexually explicit; or consists of or contains any instructions, advice or other information which may be acted upon and could, if acted upon, cause illness, injury or death, or any other loss or damage; or constitutes spam; or is grossly harmful, offensive, deceptive, fraudulent, threatening, abusive, hateful, harassing, anti-social, menacing, hateful, discriminatory or inflammatory; or causes annoyance, inconvenience or needless anxiety to any person; or racially, ethnically objectionable, disparaging, relating or encouraging money laundering or gambling, or harm minors in any way or otherwise unlawful in any manner whatsoever;

(h) upload any content that threatens the unity, integrity, defense, security or sovereignty of any country, or public order or causes incitement to the commission of any cognizable offense or prevents investigation of any offense or is insulting any nation;

(i) upload any content that contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer resource;

(j) reverse engineer, decompile, disassemble or otherwise attempt to discover the source code of our Services and StoryTech’s platforms or any part thereof or infringe any patent, trademark, copyright or other proprietary rights;

(k) use our Services and StoryTech’s platforms in any manner that could damage, disable, overburden, or impair, including, without limitation, using our Services and StoryTech’s platforms in an automated manner;

(l) modify, adapt, translate or create derivative works based upon our Services and StoryTech’s platforms or any part thereof;

(m) intentionally interfere with or damage operation of our Services and StoryTech’s platforms or any other User’s use of our Services and StoryTech’s platforms, by any means, including uploading or otherwise disseminating viruses, adware, spyware, worms, or other malicious code or file with contaminating or destructive features;

(n) use any robot, spider, other automatic devices, or manual process to monitor or copy our Services and StoryTech’s platforms without prior written permission of StoryTech;

(o) interfere or disrupt our Services and StoryTech’s platforms or networks connected therewith;

(p) take any action that imposes an unreasonably or disproportionately large load on our infrastructure/network;

(q) use any device, software or routine to bypass our Services and StoryTech’s platforms robot exclusion headers, or interfere or attempt to interfere, with our Services and StoryTech’s platforms;

(r) forge headers or manipulate identifiers or other data to disguise the origin of any content transmitted through our Services and StoryTech’s platforms or to manipulate your presence on our Services and StoryTech’s platforms;

(s) use the facilities and capabilities of our Services and StoryTech’s platforms to conduct any activity or solicit the performance of any illegal activity or other activity which infringes the rights of others;

(t) breach these Terms or any other policies of StoryTech;

(u) provide false, inaccurate or misleading information to our Services and StoryTech’s platforms; and

(v) use our Services and StoryTech’s platforms to collect or obtain personal information, including without limitation, personal information about other Users of our Services and StoryTech’s platforms.

4.2 Although StoryTech may from time-to-time monitor or review postings, transmissions, and the like on the StoryTech’s platforms, StoryTech is under no obligation to do so and assumes no responsibility or liability arising from the content of any such locations nor for any error, defamation, libel, slander, omission, falsehood, obscenity, pornography, profanity, danger, or inaccuracy contained in any information within such locations on the StoryTech’s platforms.

4.3 You are prohibited from posting or transmitting any unlawful, threatening, libelous, defamatory, obscene, scandalous, inflammatory, pornographic, or profane material or any material that could constitute or encourage conduct that would be considered a criminal offense, give rise to civil liability, or otherwise violate any law.

4.4 StoryTech shall determine your compliance with this section and shall have right to prevent you from using the StoryTech’s platforms and/or delete immediately, in its sole discretion and without prior notice, any material it deems not to comply or to be objectionable for any reason.

4.5 StoryTech retains the right to remove any such posting and fully cooperate with any law enforcement authorities or court order to request or direct StoryTech to disclose the identity of anyone posting any such information or materials.

SECURITY

5.1 While StoryTech uses reasonable efforts to safeguard the security of the StoryTech’s platforms, there can be no guarantee that such safeguards will successfully prevent unauthorized alterations in the content or functionality of the StoryTech’s platforms.

5.2 StoryTech assumes no liability or responsibility for any unauthorized changes in the content or functionality of the StoryTech’s platforms.

5.3 Every effort is made to keep up and running, maintain and support the StoryTech’s platforms. However, StoryTech is not responsible for StoryTech’s platforms being temporarily unavailable for reasons of maintenance/improvement or due to technical issues beyond our control.

DISPUTE RESOLUTION

6.1 The laws of India, without regard to its conflict of rules, will govern these Terms, as well as your and our observance of them.

6.2 If you take any legal action relating to your use of the StoryTech’s platforms or these Terms, the same shall be subject to the exclusive jurisdiction of courts located in Hyderabad, India.

6.3 In case you have any disputes with StoryTech, you may raise your issues to StoryTech and request for mediation.

6.4 If the matter is not resolved through such mediation, the same may then be settled by arbitration by a single Arbitrator appointed by StoryTech. The arbitration shall be held in accordance with the provisions of the Arbitration and Conciliation Act, 1996. The language of the arbitration shall be in English, and the place of Arbitration shall be Hyderabad India.

LIMITATION OF LIABILITY

7.1 You confirm that neither StoryTech or any of their affiliates will be liable for any harms, for direct, indirect, incidental, special, consequential or exemplary damages, including, but not limited to, damages for loss of profits, goodwill, use, data or other intangible losses, even if StoryTech has been advised of the possibility of such damages, resulting from:

(a) The use or the inability to use the service.

(b) The cost of getting substitute goods and services.

(c) Any products, data, information or services purchased or obtained or messages received or transactions entered into, through or from the service.

(d) Unauthorized access to or alteration of your transmissions or data. (e) Statements or conduct of anyone on the service.

(f) The use, inability to use, unauthorized use, performance or non performance of any third-party account provider site, even if the provider has been advised previously of the possibility of such damages.

(g) Any other matter relating to the service.

INDEMNIFICATION

You confirm to protect and fully compensate StoryTech and its affiliates from any and all third-party claims, liability, damages, expenses and costs (including, but not limited to, reasonable attorney fees) caused by or arising from your use of the service or StoryTech’s platforms, your violation of these Terms or your infringement, or infringement by any other user of your account, of any intellectual property or other rights of anyone.

9.3 StoryTech may amend these Terms at any time by posting amended Terms. You will deemed to have agreed to the amended Terms when you next use StoryTech’s platforms following any amendment.

9.4 We will assume no responsibility for reviewing unsolicited ideas and will not incur any liability due to any similarities between those ideas and materials that may appear in future programs of StoryTech.

9.5 Please do not reveal trade secrets or other confidential information in your messages to StoryTech. Any and all rights to materials submitted to us become the exclusive property of StoryTech.

9.6 You understand and confirm that StoryTech may record any calls or communication made to it by you or vice versa.

DISCLAIMER

10.1 Your use of StoryTech’s Platforms or service and all information, products and other content (including that of third parties) included in or accessible therefrom is at your sole risk.

10.2 We may terminate or deny you access to StoryTech’s platforms (including any Services or information) in our sole discretion and without any explanation.

10.3 If any provision of these Terms is held to be invalid by a court of competent jurisdiction, such invalidity shall not affect validity of remaining provisions.

10.4 The service is provided on an "as is" and "as available" basis.

STORYTECH’S PLATFORMS TERMS OF USE

FOR ESTABLISHMENTS – PART B

1. NOTICE TO ESTABLISHMENT

(a) The website _ its internet-based/electronic applications, including its portals, Workruit App and any other application or platforms as well (hereinafter collectively referred to as the “StoryTech’s platforms”) owned and operated by StoryTech Private Limited, a company incorporated under the laws of the Republic of India having its address at _.

(b) StoryTech’s platforms has adopted this STORYTECH’S PLATFORMS TERMS OF USE FOR ESTABLISHMENTS (“TUFE” or Terms).

(c) You are informed that the terms herein govern User Account for Establishments (“UAE”) on the StoryTech Platform and its use.

(d) You are requested to read TUFE for the following:

(i) Granting acceptance to these presents;

(ii) For creating UAE on the StoryTech’s platforms;

(iii) For providing any services sourced through the StoryTech’s platforms or by using UAE.

(e) It is also informed that the use of UAE shall be subject to the terms of these presents. In case you disagree, you shall not use the StoryTech’s platforms and its services. You shall leave the StoryTech’s platforms before acceptance of these terms or use of the StoryTech’s platforms.

(f) StoryTech’s platforms’ General Terms and Conditions, Privacy Policy, Disclaimers, Other Policies applicable in general, and/or to specific areas of StoryTech’s platforms are also considered part of this TUFE. The aforesaid is incorporated herein by way of reference, which shall be noted by you or any person acting for you from time to time.

(g) By accepting these terms, you further confirm that your use of the StoryTech’s platforms shall be subject to compliance with the StoryTech’s platforms’ General Terms and Conditions, Privacy Policy, Disclaimers, Other Policies applicable in general, and/or to specific areas of StoryTech’s platforms.

(h) The use of StoryTech’s platforms and/or acceptance of these TUFE shall constitute a valid and binding legal contract between you and StoryTech’s platforms with respect to this TUFE and other terms incorporated by way of the reference here.

(i) By accepting this TUFE and/or using the StoryTech’s platforms, you acknowledge and confirm that you have read and understood all the relevant terms as mentioned in these terms and shall be bound by such terms.

(j) You are informed that your right to use the StoryTech’s platforms can be denied at any point in time without any prior intimation, and you confirm to the same.

(k) You are also informed that you shall re-visit the TUFE from time to time to stay abreast of any changes that the StoryTech’s platforms may introduce. The StoryTech’s platforms reserves the right to modify the TUFE at any time without giving you any prior notice. Any updates concerning such modifications shall be available only in the StoryTech’s platforms, and such changes shall be binding on you.

(l) You confirm that you satisfy the criteria prescribed under applicable laws, to enter into a contract and have legal competence and capacity.

(m) When you use the StoryTech’s platforms, you may be asked to accept to terms governing your use of the feature. In such cases, you may be asked to consent to the particular terms expressly, for example, by checking a box or clicking on a button marked “I accept” or “I agree” or “I confirm”. This type of agreement is known as a “click-through” agreement. If any of the terms of the click-through agreement are different from the terms of the terms, the terms of the click-through agreement will supplement or amend these terms, but only concerning the matters governed by such “click-through agreement”.

(n) StoryTech’s platforms may translate these Terms into other languages for convenience. Nevertheless, the English version governs the relationship with StoryTech’s platforms, and any inconsistencies among the different versions will be resolved in favor of the English version.

2. USE OF STORYTECH’S PLATFORMS

(a) Upon acceptance of these Terms, the StoryTech’s platforms will permit you for the following:

(i) Create a user id (“UAE”) and password for using the StoryTech’s platforms. (ii) Use StoryTech’s platforms for (as may be applicable):

A. As an Establishment, post jobs or employment opportunities and skilling programmes;

B. To record the terms of understanding between you and a customer on StoryTech’s platforms for which you are performing a service.

C. Use services of the StoryTech’s platforms to Establishments.

(b) By accepting these terms, you consent, confirm, accept, undertake, and authorize as follows:

(i) The StoryTech’s platforms or persons authorized or permitted by StoryTech’s platforms or other users of the StoryTech’s platforms shall be allowed to view your details in the StoryTech’s platforms.

(ii) The StoryTech’s platforms shall be authorized to use data of you for commercial, non-commercial, analytical purposes or publications.

(iii) Store transaction details of you in the StoryTech’s platforms for the period as per StoryTech’s platforms’ policies and discretion and design its products and provide its services.

(i) The details submitted in the StoryTech’s platforms are truthful and do not/shall not violate any law or regulations or norms or contracts applicable to the same.

(ii) Before submitting your details and/or viewing and/or generating any details on StoryTech’s platforms or while using services of StoryTech’s platforms or through StoryTech’s platforms (as may be applicable), you confirm that you have ensured that you do not violate laws applicable at their location/country/state from where you access the StoryTech Platform.

(iii) That you understand that the StoryTech’s platforms has not made any representations or assurances on behalf of any parties and/ or authorities, government, regulatory bodies, and judicial authority.

(iv) You do not violate intellectual property rights or legal rights of any person or a third party in any manner by using the StoryTech’s platforms.

3. USER ACCOUNT OF ESTABLISHMENT (UAE)

(a) While creating an UAE, you must provide accurate and complete information. (b) You must keep UAE and password secure and confidential.

(c) You must notify the StoryTech’s platforms immediately of any breach of security or unauthorized use of UAE or password as soon as you become aware of the same. You must not use any other person’s account to access the StoryTech’s platforms, nor shall you share his/her credentials to another person.

(d) You confirm to be solely responsible and liable (to StoryTech’s platforms and others) for all activity that occurs under their UAE.

(e) You are also liable for any activity on StoryTech’s platforms arising out of any failure to keep their password confidential and for any losses arising out of such a failure.

(f) As an account holder, you shall submit only truthful Information to the StoryTech’s platforms.

(g) You understand and confirm that the Information uploaded may be used by any third person. The StoryTech’s platforms shall be entitled to disclose the source at its sole discretion.

(h) You declare to StoryTech’s platforms that you have (and will continue to have during the use of StoryTech’s platforms by you) all necessary authority, licenses, rights, consents and permissions to use UAE.

(i) On becoming aware of any potential violation of any terms, StoryTech’s platforms reserves the right to decide whether Information complies with the Information requirements set out in any terms and may remove such Information and/or terminate your access for uploading Information which violates any terms at any time, without prior notice at StoryTech’s platforms’ sole discretion.

(j) You confirm and undertake to indemnify, defend and hold harmless StoryTech’s platforms and all its officers, directors, promoters, employees, agents, and representatives against any and all loss and claims arising from any Information uploaded on StoryTech’s platforms or by use of StoryTech’s platforms.

(k) You further confirm and undertake as follows while using any of the features of the StoryTech’s platforms (including that of your UAE):

A. You will fill in the details about business accurately, and you will keep your business information up to date.

B. After activating UAE, you can only update your business information after getting approval from our due diligence department.

C. StoryTech will not be responsible for the nonpayment of fee by the Candidate; however, all best efforts will be put in by StoryTech to recover the amount.

D. UAE Fee is shown in the Business activity section of the Profile tab. You have to accept the UAE Fee before activating your account; if you do not agree to the platform fees, you shall not proceed to activate your account. Activation/continuance of your UAE will be deemed as your acceptance of the UAE Fee applicable from time to time.

E. You shall also note that different services may attract different UAE charges, which you view on the Business activity page of your Profile.

F. StoryTech reserve the right to debar you if your conduct is not fair and as per law or on receipt of complaints.

G. StoryTech will generate an internal score for you, which will be published. The same will be used as filter criteria by Service Recipients while assigning

the work orders. You confirm that the said process will apply to your activities in UAE.

H. We will be performing due diligence on your Profile, which will include involving third parties to verify the place of business etc. The cost of verification will be debited to your UAE, and the dues will be deducted at the time of first billing; else StoryTech’s platforms will bear the cost.

I. You are informed that the Candidates will give a rating to you; the StoryTech’s platforms is not responsible for a low rating (if any assigned), and by being accepting these terms, you permit the Candidates to do so, and your further confirm that you will not raise any issue on these ratings given by Candidates. You also confirm that such ratings will only be deemed as confirmation to improve your services.

J. StoryTech will publish your Profile on its marketplace (ie., StoryTech’s platforms) and also will publish the average rating assigned. You will not raise any objection in the manner in which the information is shown.

K. TFS may also publish Review comments for the Establishments given by the Candidates.

L. You also confirm that you will not raise any objection if the Candidate has not accepted your services/job offer. You also confirm that neither the Candidate nor StoryTech will not be required to provide any reason for the same.

(l) Service Administrators: You may designate one or more of its employees (“Service Administrators”) to access the UAE or its sub UAE (as may be available) subject to terms regarding the same prescribed by StoryTech . Each Service Administrator shall be responsible for maintaining the secrecy of passwords, login, and account Information related to or using the UAE.

(m) Subject to the above, any amount/data/documents collected from StoryTech shall be deemed to be held in trust by you.

4. PROHIBITED CONDUCT

(a) By using StoryTech’s platforms, you agree that as follows:

(i) Use StoryTech’s platforms for spamming or any other illegal purposes; (ii) Upload any promotional material or advertisement to the UAE;

(iii) Infringe StoryTech’s platforms’ or any third party’s intellectual property rights, rights of publicity or privacy;

(iv) Post or transmit any message, data, image or program which violates any law;

(v) Refuse to cooperate in an investigation or provide confirmation of your identity or any other information provided to StoryTech’s platforms;

(vi) Remove, circumvent, disable, damage or otherwise interfere with security related features of the StoryTech’s platforms or features that enforce limitations on the use of StoryTech’s platforms;

(vii) Upload any information which is in contempt of any court or breach of any court order; or discriminates based on age, sex, religion, race, gender; harassing, invasive of another’s privacy, blasphemous; in breach of any contractual obligations or consists of or contains any instructions, advice or other information which may be acted upon and could, if acted upon, cause illness, injury or death, or any other loss or damage; or constitutes spam; or is grossly harmful, offensive, deceptive, fraudulent, threatening, abusive, hateful, harassing, anti-social, menacing, hateful, discriminatory or inflammatory; or causes annoyance, inconvenience or needless anxiety to any person; or racially, ethnically objectionable, disparaging, relating or encouraging money laundering or gambling, or harm minors in any way or otherwise unlawful in any manner whatever;

(viii) Upload any information that threatens the unity, integrity, defense, security or sovereignty of any country or public order or causes incitement to the commission of any cognizable offense or prevents investigation of any offense or is insulting any nation;

(ix) Upload any Information that contains software, virus or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer resource;

(x) Reverse engineer, decompile, disassemble or otherwise attempt to discover the source code of StoryTech’s platforms or any part thereof or infringe any patent, trademark, copyright or other proprietary rights;

(xi) Use StoryTech’s platforms in any manner that could damage, disable, overburden, or impair, including, without limitation, using StoryTech’s platforms in an automated manner;

(xii) Modify, adapt, translate or create derivative works based upon StoryTech’s platforms or any part thereof;

(xiii) Intentionally interfere with or damage the operation of StoryTech’s platforms or any other use of StoryTech’s platforms, by any means, including uploading or otherwise disseminating viruses, adware, spyware, worms, or other malicious code or file with contaminating or destructive features;

(xiv) Use any robot, spider, other automatic devices, or manual process to monitor or copy StoryTech’s platforms without prior written permission of StoryTech’s platforms;

(xv) Interfere or disrupt StoryTech’s platforms or networks connected therewith;

(xvi) Take any action that imposes an unreasonably or disproportionately large load on StoryTech’s platforms’ infrastructure/network;

(xvii) Use any device, software or routine to bypass StoryTech’s platforms’ robot exclusion headers, or interfere or attempt to interfere with StoryTech’s platforms;

(xviii) Forge headers or manipulate identifiers or other data to disguise the origin of any Information transmitted through StoryTech’s platforms or to manipulate your presence on StoryTech’s platforms;

(xix) Sell/ sub-license the Information or software associated with or derived from the StoryTech’s platforms;

(xx) Use the facilities and capabilities of the StoryTech’s platforms to conduct any activity or solicit the performance of any illegal activity or other activity which infringes the rights of others;

(xxi) Breach any terms or any other policy of the StoryTech’s platforms;

(xxii) Provide false, inaccurate, or misleading information to the StoryTech’s platforms.

5. STORYTECH’S PLATFORMS’ UAE SERVICES

also be bound to the same while subscribing to the service and/or for using the service (as may be applicable).

(b) Upon you opting to avail of such services and/or subscribing to the service and/or for using the service (as may be applicable), the respective service terms shall form part and parcel of this TUFE.

(c) The service terms shall include the fee to be paid by you to the services availed through the StoryTech’s platforms and the manner in which the fee shall be paid.

(d) The acceptance of such terms shall be a binding contract on you in addition to the term herein present.

6. UAE FEE

(a) By accepting the terms of this TUFE, you agree as follows:

(i) The StoryTech’s platforms shall be entitled to charge a license fee or service fee or subscription fee or such other fee for services offered by the StoryTech’s platforms or through it.

(ii) The service terms applicable for the particular service or a schedule of charges in the StoryTech’s platforms shall have the applicable license fee or service fee or subscription fee, or other fees (as may be applicable).

(iii) The fee paid by you to the StoryTech’s platforms (if any) shall not be refundable. When we process any refund, we will refund using the method you used for payment. In the unfortunate event of the software, apps, applications or servers crashing or having technical problems during your purchase or any technical issue on our side that prevented you from cancelling or using our services entirely please email us at info@storytech.in, and the problem will be investigated. This will result in refunds in the case we find the problem was caused on our end. Request a refund within 30 days of purchase. Refunds processed within 5 – 7 business days upon approval.

(iv) The fee shall be paid along with the applicable GST, other taxes and cess etc.

(v) In case of a breach, you will be prohibited from accessing and using the StoryTech’s platforms.

7. INTELLECTUAL AND PROPRIETARY RIGHTS

(a) You agree that you shall not breach intellectual property rights and proprietary rights of the StoryTech’s platforms or any third person.

(b) You further confirm and agree that you shall not reverse engineer, decompile, disassemble or create derivative works of or modify the StoryTech’s platforms.

8. USE OF THIRD-PARTY LINKS

(a) You agree that the use of Third-Party links may be subject to the terms and conditions and privacy policy, and other terms of such a web application.

(b) You shall exercise your own discretion while accessing any third-party links that may appear in the StoryTech’s platforms.

(d) Any access to third party links from the StoryTech’s platforms will be at your sole risk and responsibility.

(e) The StoryTech’s platforms disclaims and discharges itself any liability that may arise on it due to any act of such third parties.

9. NO WARRANTIES, LIABILITY AND INDEMNIFICATION

(a) By agreeing to this TUFE, you consent to the following

(i) The StoryTech’s platforms gives or makes no representation or warranty (either express or implied) as to the suitability of web-application or software or technology integrations or services or its contents for any purpose or the completeness, accuracy, reliability, security or availability, nor do you accept any responsibility arising in any way.

(ii) The StoryTech’s platforms in no event shall be liable to you (or to any third party claiming under you or otherwise) for any indirect, special, incidental, consequential, or exemplary damages arising from the use of or inability to use StoryTech’s platforms. These exclusions would apply to any claims for loss of revenue or profits, lost data, loss of goodwill, work stoppage, computer failure or malfunction, or any other commercial damages or losses, even if the StoryTech’s platforms knew or should have known of the possibility of such damages.

(iii) You agree to defend, indemnify and hold StoryTech’s platforms and parties/persons acting under it harmless from and against:

A. Any claims, actions, demands, liabilities, judgments, and settlements, including without limitation, reasonable legal fees

resulting from or alleged to result from the use of StoryTech’s

platforms in any manner;

B. Any loss, costs, damages, expenses, and liability caused by the use of StoryTech’s platforms;

C. Violation of any rights of a third party through the use of StoryTech’s platforms; and

D. Any indirect, special, incidental, remote, punitive, exemplary, or consequential damages arising out of your acts.

10. TERMINATION

The StoryTech’s platforms may terminate this TUFE if you fail to comply with any terms or conditions of this TUFE or, in case StoryTech’s platforms wishes to withdraw any access or services for any reason.

11. GOVERNING LAW, JURISDICTION AND DISPUTE RESOLUTION

(a) The laws of the Republic of India, without regard to its conflict of laws rules, will govern these TUFE.

(b) You take any legal action; the same shall be subject to the exclusive jurisdiction of courts located in Hyderabad, India.

(c) In case you have any disputes with the StoryTech’s platforms, you may raise your issues to the StoryTech’s platforms and request mediation.

(d) If the matter is not resolved through such mediation, the same may then be settled by Arbitration by a single Arbitrator appointed by the StoryTech’s platforms. The Arbitration shall be held following the provisions of the Arbitration and Conciliation Act, 1996. The language of the Arbitration shall be in English, and the place of Arbitration shall be New Delhi, India.

12. BREACH OF TERMS

(a) Without prejudice to StoryTech’s platforms’ other rights, if you breach these terms and, in any way, or if StoryTech’s platforms suspect that you have breached these terms in any way, StoryTech’s platforms may

(i) Send you one or more formal warnings;

(ii) Temporarily suspend your access to StoryTech’s platforms and services;

(iii) Permanently prohibit you from accessing StoryTech’s platforms and services;

(iv) Block computers using your IP address from accessing StoryTech’s platforms and services;

(v) Contact the Establishments and request that you block your access to StoryTech’s platforms and services;

(vi) Commence legal action against you, whether for breach of contract or recovery of amounts due or damages or otherwise;

(vii) Suspend or delete your account on StoryTech’s platforms and services.

(b) Notwithstanding anything to the contrary contained this these terms after termination or suspension of services or discontinuance of UAE on StoryTech’s platforms pursuant to your breach or otherwise, you will not be entitled to refund of any fee or charges paid, nor shall be discharged from any pending obligation accrued in favor or StoryTech’s platforms or by availing any services through StoryTech’s platforms.

13. STORYTECH’S PLATFORMS INFORMATION

(a) Except for Information submitted to StoryTech’s platforms by you, all other Information on the StoryTech’s platforms is either owned by or licensed to StoryTech’s platforms and is subject to copyright, trademark rights, and other intellectual property rights of the StoryTech’s platforms or the StoryTech’s

platforms' licensors.

(b) Any third party trade or service marks present on the StoryTech’s platforms not uploaded or posted by you are trade or service marks of their respective owners may not be downloaded, copied, reproduced, distributed, transmitted, broadcast, displayed, sold, licensed, or otherwise exploited for any other purpose whatsoever without the prior written consent of StoryTech’s platforms.

(c) The StoryTech’s platforms will not be liable concerning such information, or use of, or otherwise in connection with StoryTech’s platforms for any direct loss; for any indirect, special or consequential loss; or for any business losses, loss of revenue, income, profits or anticipated savings, loss of contracts or business relationships, loss of reputation or goodwill, or loss or corruption of information or data.

(c) The StoryTech’s platforms will assume no responsibility for reviewing unsolicited ideas and will not incur any liability due to any similarities between those ideas and materials that may appear in the StoryTech’s platforms’ future programs.

(d) Please do not reveal trade secrets or other confidential information in your messages to the StoryTech’s platforms. Any and all rights to materials submitted to StoryTech’s Platforms’ become the exclusive property of the StoryTech’s platforms.

(e) You understand and confirm that the StoryTech’s platforms may record any calls or communication made to it by you or vice versa.

15. MISCELLANEOUS

(a) Any reference to a statutory provision shall include such provision from time to time modified or re-enacted or consolidated so far as such modification or re-enactment or consolidation applies or is capable of using it to any transactions entered into hereunder.

(b) StoryTech’s platforms shall be permitted to assign, transfer, and subcontract its rights and/or obligations under these terms without any notification or consent required. However, you shall not be permitted to assign, transfer, or subcontract any of your rights and/or obligations under these terms.

(c) Notwithstanding anything contained in this Agreement, the StoryTech’s platforms shall not be responsible or liable for any acts or deed of you or and/or for any claims including that arising due to (i) no errors of the StoryTech’s platforms and/or (ii) for any indirect claims and/or (iii) for any claims not adjudicated by a court of law as per due process and/or (iv) for any claim on the StoryTech’s platforms beyond the portion of UAE Fee for any undischarged part of the services pending delivery by the StoryTech’s platforms under this Agreement provided such fee was paid in advance by you.

(d) If a provision of a contract under these terms is determined by any court or other competent authority to be unlawful and/or unenforceable, the other provisions will continue in effect. If any unlawful and/or unenforceable provision of a contract under any terms would be lawful or enforceable if part of it were deleted, that part will be deemed to be deleted, and the rest of the provision will continue in effect.

(e) These terms will inure to the benefit of the StoryTech’s platforms and its successors and assign and benefit you and are not intended to benefit or be enforceable by any third party not expressly stated herein. The exercise of the parties’ rights under a contract under these terms is not subject to any third party’s consent

STORYTECH’S PLATFORMS TERMS OF USE

FOR CANDIDATE – PART C

1. NOTICE TO CANDIDATE

(a) The website www.storytech.com its internet-based/electronic applications, including its portals, StoryTech App (hereinafter collectively referred to as the “StoryTech’s platforms”) owned and operated by StoryTech Private Limited, a company incorporated under the laws of the Republic of India having its address [xx]

(b) StoryTech’s platforms has adopted this STORYTECH’S PLATFORMS TERMS OF USE FOR CANDIDATE (“TUFC” or Terms).

(c) You are informed that the terms herein govern User Account for Candidate (“UAC”) on the StoryTech Platform and its use.

(d) You are requested to read TUFC for the following:

(i) Granting acceptance to these presents;

(ii) For creating UAC on the StoryTech’s platforms;

(iii) For receiving services from Establishments sourced through the StoryTech’s platforms by using UAC (“Establishments”).

(iv) For receiving services from StoryTech directly through the StoryTech’s platforms by using UAC.

(e) It is also informed that the use of UAC shall be subject to the terms of these presents. In case you disagree, you shall not use the StoryTech’s platforms and its services. You shall leave the StoryTech’s platforms before acceptance of these terms or use of the StoryTech’s platforms.

(f) StoryTech’s platforms’ General Terms and Conditions, Privacy Policy, Disclaimers, Other Policies applicable in general, and/or to specific areas of StoryTech’s platforms are also considered part of this TUFC. The aforesaid is incorporated herein by way of reference, which shall be noted by you or any persons acting for you from time to time.

(h) The use of StoryTech’s platforms and/or acceptance of these TUFC shall constitute a valid and binding legal contract between you, Establishment and StoryTech’s platforms concerning this TUFC and other terms incorporated by way of the reference here.

(i) By accepting this TUFC and/or using the StoryTech’s platforms, you acknowledge and confirm that you have read and understood all the relevant terms mentioned in these terms and shall be bound by such terms.

(j) You are informed that your right to use the StoryTech’s platforms can be denied at any point in time without any prior intimation, and you confirm the same.

(k) You are also informed that you shall re-visit the TUFC from time to time to stay abreast of any changes that the StoryTech’s platforms may introduce. The StoryTech’s platforms reserves the right to modify the TUFC at any time without giving you any prior notice. Any updates concerning such modifications shall be available only in the StoryTech’s platforms, and such changes shall be binding on you.

(l) You confirm that you satisfy the criteria prescribed under applicable laws, to enter into a contract and have legal competence and capacity. Also, you have requisite authority from the organization to get the work and payment thereof to Establishments.

(m) When you use the StoryTech’s platforms, you may be asked to accept to terms governing your use of the feature. In such cases, you may be asked to consent to the particular terms expressly, for example, by checking a box or clicking on a button marked “I accept” or “I agree” or “I confirm”. This type of agreement is known as a “click-through” agreement. If any of the terms of the click-through agreement are different from the terms of TUFC, the terms of the click-through agreement will supplement or amend TUFC, but only concerning the matters governed by such “click-through agreement”.

2. USE OF STORYTECH PLATFORM

(a) Upon you accepting these terms, the StoryTech’s platforms will permit you for the following:

(i) Create a unique user id (“UAC”) after registering on the platform with a valid email address or phone number and password for using the StoryTech’s platforms.

(ii) Use StoryTech’s platforms for (as may be applicable):

A. As a Candidate, post expertise and express interest in recruitment or skilling programme either from StoryTech directly or from

Establishments on StoryTech’s platforms.

B. To record the terms of understanding between you and a Establishment, which confirms employment or skilling programme.

C. Use services of the StoryTech’s platforms as a Candidate.

(b) By accepting these terms, you consent, confirm, accept, undertake, and authorize as follows:

(i) The StoryTech’s platforms or persons authorized or permitted by StoryTech Platform or other users of the StoryTech’s platforms shall be allowed to view your details in the StoryTech’s platforms.

(ii) The StoryTech’s platforms shall be authorized to use your data for commercial, non-commercial, analytical purposes or publications.

(iii) The StoryTech’s platforms shall be authorized to send notifications to Establishments on the StoryTech’s platforms of an posts by you evincing an interest in employment or enrolling in skilling programme.

(i) The details submitted in the StoryTech’s platforms are truthful and do not/shall not violate any law or regulations or norms or contracts applicable to the same.

(ii) Before submitting your details and/or viewing and/or generating any details on StoryTech’s platforms or while using services of StoryTech’s platforms or through StoryTech’s platforms (as may be applicable), You confirm that you have ensured that you do not violate laws applicable at your location/country/state from where you access the StoryTech’s platforms.

(iv) You do not violate intellectual property rights or legal rights of any person or a third party in any manner by using the StoryTech’s platforms.

3. CANDIDATE USER ACCOUNT (UAC)

(a) While creating an UAC, you must provide accurate and complete information. Further you also confirm that the data in the candidate enrolment form is true, correct and updated and shall be valid from time to time till such time you maintain a UAC with StoryTech’s platforms.

(b) You must keep UAC and password secure and confidential.

(c) You must notify the StoryTech’s platforms immediately of any breach of security or unauthorized use of UAC or password as soon as you become aware of the same. You must not use any other person’s account to access the StoryTech’s platforms, nor shall you share his/her credentials with another person.

(d) You confirm to be responsible and liable (to StoryTechs’ platforms and others) for all activity that occurs under your UAC.

(e) You are also liable for any activity on the StoryTech’s platforms arising out of any failure to keep your password confidential and for any losses arising out of such a failure.

(f) As an account holder, you shall submit only truthful Information to the StoryTech’s platforms.

(g) You understand and confirm that the Information uploaded may be used by any third person. The StoryTech’s platforms shall be entitled to disclose the source at its sole discretion.

(k) You further confirm and undertake as follows while using any of the features of the StoryTech’s platforms (including that of your UAC):

A. You will fill in the details about you accurately, and You will keep your information up to date.

B. You confirm that you shall not hold the StoryTech’s platforms liable for Institutions’ enforcement actions to receive the payments for programmes rendered by them.

C. You confirm and undertake to honor any payments on or before due dates given by Institution or StoryTech.

D. You will pay directly to the StoryTech’s platforms the amount of invoice raised through the StoryTech’s platforms for the service taken by you from either Institution or StoryTech.

E. Your payments made offline through cheques, NEFT, RTGS etc. will be reflected in the account on citing money by StoryTech in its bank account.

F. Online payments may be reflected immediately; however, if StoryTech does not receive the money from the payment gateway, the account will be debited for the amount credited earlier.

G. StoryTech is not responsible for the quality of work of Institution.

H. StoryTech will not be held liable for any loss/damage due to inferior quality of services provided by the Institution.

I. The user can’t change the important details on Profile, if they so which to they have to inform StoryTech, which will be done after due verification J. The Schedule of charges will be reviewed and updated by StoryTech from time to time.

K. StoryTech reserve the right to debar you if your conduct is not fair and as per law or on receipt of complaints.

4. PROHIBITED CONDUCT

(a) By using StoryTech’s platforms, you agree to not engage as follows: (i) Use StoryTech’s platforms for spamming or any other illegal purposes; (ii) Upload any promotional material or advertisement to the UAC;

(iii) Infringe StoryTech’s plaatforms’ or any third party’s intellectual property rights, rights of publicity or privacy;

(iv) Post or transmit any message, data, image or program which violates any law;

(v) Refuse to cooperate in an investigation or provide confirmation of your identity or any other information provided to StoryTech’s platforms;

(ix) Upload any Information that contains software, virus or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer resource;

(xi) Use StoryTech’s platforms in any manner that could damage, disable, overburden, or impair, including, without limitation, using StoryTech’s platforms in an automated manner;

(xii) Modify, adapt, translate or create derivative works based upon StoryTech’s platforms or any part thereof;

(xiii) Intentionally interfere with or damage the operation of StoryTech’s platforms or any other your use of StoryTech’s platforms, by any means, including uploading or otherwise disseminating viruses, adware, spyware, worms, or other malicious code or file with contaminating or destructive features;

(xiv) Use any robot, spider, other automatic devices, or manual process to monitor or copy StoryTech’s platforms without prior written permission of StoryTech’s platforms;

(xv) Interfere or disrupt StoryTech’s platforms or networks connected therewith;

(xvi) Take any action that imposes an unreasonably or disproportionately large load on StoryTech’s platforms’ infrastructure/network;

(xvii) Use any device, software or routine to bypass StoryTech’s platforms’ robot exclusion headers, or interfere or attempt to interfere with StoryTech’s platforms;

(xix) Sell/ sub-license the Information or software associated with or derived from the StoryTech’s platforms;

(xxi) Breach any terms or any other policy of the StoryTech’s platforms;

(xxii) Provide false, inaccurate, or misleading information to the StoryTech’s platforms.

5. UAC SERVICES

(a) By accepting these terms, you understand and confirm that StoryTech’s platforms’ services, if any availed, may be further subject to the terms of separate service terms given in the StoryTech’s platforms applicable for the specific service. You shall also be bound to the same while subscribing to the service and/or for using the service (as may be applicable).

(b) Upon you opting to avail of such services and/or subscribing to the service and/or using the service (as may be applicable), the respective service terms shall form part and parcel of this TUFC.

(c) The service terms may include the fee to be paid by you for the services availed through the StoryTech’s platforms and the manner in which the fee shall be paid.

(d) The acceptance of such terms shall be a binding contract on you in addition to the term herein present.

6. TUFC FEE

(a) By accepting the terms of this TUFC, you agree as follows:

(i) The StoryTech’s platforms shall be entitled to charge a license fee or service fee or subscription fee or such other fee for services offered by the StoryTech’s platforms or through it.

(iv) The fee shall be paid along with the applicable GST, other taxes and cess etc.

(v) You shall produce proof of tax withholding/deductions made to comply with applicable law.

(vi) In case of a breach, you will be prohibited from accessing and using the StoryTech’s platforms.

7. INTELLECTUAL AND PROPRIETARY RIGHTS

(a) You agree that you shall not breach intellectual property rights and proprietary rights of the StoryTech’s platforms or any third person.

C. Violation of any rights of a third party through the use of StoryTech’s platforms; and

D. Any indirect, special, incidental, remote, punitive, exemplary, or consequential damages arising out of your acts.

(iv) Subject to the terms of this TUFC, except for fraud, misconduct, negligence or omissions, your obligation towards breach of representation and warranties in these Terms and the corresponding indemnity shall be limited to 12 months UAC Fee or the actual claim, whichever is higher.

10. TERMINATION

The StoryTech’s platforms may terminate this TUFC if you fail to comply with any terms or conditions of this TUFC or, in case StoryTech’s platforms wish to withdraw any access or services for any reason.

(a) You grants us permission to (i) use your name to identify you as a customer/user of StoryTech’s platforms in our customer lists, commercial presentations, flyers, brochures, newsletters and other marketing collateral (collectively, the "Items"); and (ii) reproduce, publish, distribute and translate the Items, for purposes of marketing, advertising, merchandising and publicity.

(b) The permission granted above will survive expiration or termination of these terms of TUFC, provided you may, by giving us at least 30 days' prior written notice, terminate the permission after termination of these terms.

16. MISCELLANEOUS

(c) You will release and discharge StoryTech from any claims that you may have for any reasons pursuant to use of services from SroryTech’s platforms. StoryTech and affiliates do not provide any representations or warranties on behalf of any Establishments

(d) Notwithstanding anything contained in this Agreement, the StoryTech’s platforms shall not be responsible or liable for any acts or deed of you or and/or for any claims including that arising due to (i) no errors of the StoryTech’s platforms and/or (ii) for any indirect claims and/or (iii) for any claims not adjudicated by a court of law as per due process and/or (iv) for any claim on the StoryTech’s platforms beyond the portion of UAC Fee for any undischarged part of the services pending delivery by the StoryTech’s platforms under this Agreement provided such fee was paid in advance by you.

(e) If a provision of a contract under these terms is determined by any court or other competent authority to be unlawful and/or unenforceable, the other provisions will continue in effect. If any unlawful and/or unenforceable provision of a contract under any terms would be lawful or enforceable if part of it were deleted, that part will be deemed to be deleted, and the rest of the provision will continue in effect.

(f) These terms will inure to the benefit of the StoryTech’s platforms and its successors and assign and benefit you and are not intended to benefit or be enforceable by any third party not expressly stated herein. The exercise of the parties’ rights under a contract under these terms is not subject to any third party’s consent.
